1. Definitions and Interpretation
Customer: The person or organisation placing an order and whose order for the Goods is accepted by Healthcare Pharma Ltd
Goods: The products which Healthcare Pharma Ltd is to supply in accordance with the Purchase Order
Working day Any day other than a Saturday, Sunday, Bank Holiday or Statutory Holiday in the United Kingdom.
Month A calendar month
These conditions apply to the sale of all Goods by Healthcare Pharma Ltd, they supersede all prior terms and are subject to change without notice.
2. Purchase Orders
No purchase order submitted shall be deemed to have been accepted by Healthcare Pharma Ltd unless and until confirmed in writing by an authorised representative of Healthcare Pharma Ltd
The Customer warrants that it is properly authorised to purchase the Goods and that it will notify Healthcare Pharma immediately in writing if its authorisation to purchase the Goods is revoked, suspended or amended.
3. Minimum Order Value
Individual purchase orders shall be for a minimum order value of £250.00 (excluding VAT). Healthcare Pharma Ltd reserves the right to charge a levy of £25 + VAT to orders under £250.00
4. Delivery
Delivery of the Goods shall be made by Healthcare Pharma Ltd to the place specified in the Customer's order. The Delivery Date is approximate only.
5. Payment
Healthcare Pharma Ltd shall be entitled to invoice the Customer on or at any time after acceptance of the Customer's order.
Payment is due by the end of the month following the month of invoice, unless otherwise agreed in writing.
No payment shall be deemed to have been received until Healthcare Pharma Ltd has received cleared funds. If a Customer's cheque is returned unpaid to Healthcare Pharma Ltd, the Customer shall reimburse any bank charges incurred by Healthcare Pharma Ltd.
The Customer shall make all payments due in full without any deduction.
Healthcare Pharma Limited reserves the right to charge the Customer interest at 3% above the Bank of England base rate per month (or part thereof) on all overdue amounts, without prejudice to the right of recovery.
6. Risk and Retention of Title
Risk of damage to or loss of the Goods shall pass to the Customer at the time of delivery.
Notwithstanding delivery and the passing of risk in the Goods, legal and beneficial title of the Goods shall not pass to the Customer until Healthcare Pharma Ltd has received cleared funds in full payment of the price of the Goods.
Until payment has been made to Healthcare Pharma Ltd in accordance with these Terms and Conditions and title in the Goods has passed to the Customer, the Customer shall be in possession of the Goods as bailee for Healthcare Pharma Ltd and the Customer shall store the Goods separately and in an appropriate environment, shall ensure that they are identifiable as being supplied by Healthcare Pharma Ltd and shall insure the Goods against all reasonable risks.
Healthcare Pharma Ltd reserves the right to recover Goods when payment is not received.
7. Defective Goods
The customer must examine the Goods upon delivery and within five working days thereafter notify Healthcare Pharma Ltd in writing of any defects, short-delivery or non-delivery. In default, the Customer will be deemed to have examined and accepted the Goods.
Notification of such defects must be sent to customerservices@healthcarepharma.co.uk.
8. Returns of Goods and Credits
Healthcare Pharma Ltd will only accept returns of Goods where the reason for the return is
• An error on the part of Healthcare Pharma
• Due to a product recall initiated by the Marketing Authorisation holder
• Goods damaged in transit
No Goods may be returned to Healthcare Pharma Ltd without the prior agreement in writing of Healthcare Pharma. Credit for returned goods will only be considered if the Buyer requests Healthcare Pharma Ltd to collect the goods.
9. Force Majeure
Healthcare Pharma Ltd reserves the right to partially or totally suspend deliveries when prevented from doing so due to circumstances outside its reasonable control. Such causes include, but are not limited to: power failure, Internet Service Provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war and governmental action.
